These Terms of Service (“Terms”) govern your access to and use of the RugAlchemy website and platform provided by RugAlchemy Ltd.

1. Acceptance of terms

By creating an account or using the platform you agree to these Terms on behalf of yourself and the organization you represent. You must be at least 18 years old and authorized to bind that organization.

2. Accounts and workspaces

Each subscription includes a workspace with a set number of seats. Workspace administrators manage members and permissions and are responsible for keeping login credentials confidential.

3. Subscriptions and payment

Plans are billed monthly or annually in advance and renew automatically unless cancelled before the renewal date. Prices exclude VAT and other applicable taxes. Annual plans can be refunded pro rata within the first 30 days.

4. Ownership of designs

You own the designs you generate in your workspace and may manufacture, sell and license them commercially. You grant RugAlchemy only the limited licence needed to host, process and display them to you in order to operate the service.

5. Acceptable use

You may not use the platform to infringe the intellectual property of others, upload unlawful content, attempt to reverse-engineer our models, or overload or disrupt the service.

6. Customer content

Uploads and prompts remain confidential and are processed only to provide the service to you. They are never used to train models for other customers.

7. Intellectual property

The RugAlchemy platform, models, software, brand and trademarks remain the property of RugAlchemy Ltd. If you send us feedback, we may use it to improve the service without obligation to you.

8. Warranties and disclaimers

We provide the service with reasonable skill and care and aim for 99.9% monthly availability. Except as stated in these Terms, the service is provided “as is”, and you are responsible for reviewing designs before production.

9. Limitation of liability

Neither party is liable for indirect or consequential losses. Our total liability in any 12-month period is limited to the fees you paid in that period, except where the law does not allow such limits.

10. Termination

You may cancel at any time from your workspace settings. We may suspend accounts that seriously breach these Terms. After termination you have 90 days to export your designs before they are deleted.

11. Governing law and disputes

These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction, although we will always try to resolve a dispute informally first.

12. Changes to these terms

We will notify workspace administrators by email at least 30 days before any material change takes effect. Continued use after that date means you accept the updated Terms.
